Terms of Service

1. Agreement

These Terms govern your use of the Callata business phone service, website and apps (the "Service"), provided by Dunn Investing LLC, a Florida limited liability company, doing business as Callata ("Callata", "we", "us"). By creating an account or using the Service you agree to these Terms on behalf of yourself and the business you represent ("Customer"). If you don't agree, don't use the Service.

2. The Service

Callata provides cloud calling, texting, voicemail, call recording, transcription, AI call summaries and optional AI agents. Features depend on your plan, your carrier registrations, and third-party providers. We may improve or change features; we won't materially reduce core calling and texting during a paid term without notice.

3. Accounts and team members

The person who creates an account is its owner and is responsible for everyone they invite. Keep credentials secure and tell us promptly about unauthorized use. You must be at least 18 and able to bind your business.

4. Plans, billing and cancellation

Callata Office is billed monthly in advance at the price shown at checkout (currently $99/month including 5 users, plus $20/month for each additional user, prorated when users are added or removed) plus applicable taxes and regulatory fees. New accounts pay $79.99 for their first month; the intro price applies once per account. AI minutes and business-texting registration are prepaid and non-refundable once used or filed. Fees are non-refundable except where required by law. You can cancel anytime; service continues to the end of the paid period. We may suspend the Service for non-payment after notice.

5. Fair use

Inbound calling is unlimited. Each billing period includes 1,500 outbound US and Canada minutes per user on the account, pooled across the team (for example, 7,500 minutes for 5 users). Outbound minutes beyond the pool are billed at $0.01/min on the next invoice, and the owner is emailed when the team passes 80% of the pool. Calls placed by AI agents use prepaid AI minutes instead. Calling is for normal business conversations between people; it excludes auto-dialing, call centers, robocalling, traffic pumping and reselling. We may contact you, throttle, or suspend accounts that engage in those uses or threaten network integrity.

6. Acceptable use

You won't use the Service to break the law or others' rights, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, the Telemarketing Sales Rule, state telemarketing and call-recording laws, and carrier messaging rules. You won't send spam, spoof caller ID, harass anyone, or transmit malware. You are responsible for obtaining consent for calls, texts, recordings and AI calls you place. See our Messaging Policy.

7. Call recording and AI

If you enable recording, callers hear a recording notice; you remain responsible for complying with one- and two-party consent laws. AI agents identify themselves as AI assistants. Outbound AI calls may only be placed to people who gave prior express consent, between 8am and 9pm. AI output can be wrong; review summaries before relying on them.

8. Phone numbers

Numbers are assigned to you for use with the Service and remain subject to carrier rules. You may port your numbers out while your account is in good standing. If your account is canceled or deleted, numbers not ported out are released and can't be recovered.

9. 911

Emergency calling has important limitations described in our 911 Service Disclosure, which forms part of these Terms. You must keep your registered emergency address current.

10. Your data

You own your content (contacts, messages, recordings, voicemails). You grant us the rights needed to operate the Service. Our Privacy Policy explains how we handle personal data.

11. Third-party services

The Service relies on carriers and providers (for example telecommunications carriers, payment processors, and speech and AI providers). If you connect your own provider account, its terms also apply and its charges are yours.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DON'T GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. THESE LIMITS DON'T APPLY TO YOUR PAYMENT OBLIGATIONS OR YOUR INDEMNITY.

14. Indemnity

You will defend and indemnify us against third-party claims arising from your content, your calls and messages, or your violation of these Terms or applicable law.

15. Termination

You can stop using the Service at any time. We may suspend or terminate accounts that violate these Terms, pose a security or legal risk, or remain unpaid.

16. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction, and each party consents to venue there.

17. Changes

We may update these Terms. If a change is material we'll notify account owners by email or in the app at least 30 days before it takes effect.
